    You asked whether directors of nonprofit organizations are protected from liability for their actions as directors. Our office is not authorized to give legal opinions and this report should not be considered one. SUMMARY Any person serving without compensation as a director of a nonprofit organization qualified as a tax-exempt organization under the Internal Revenue Code is immune from civil liability for damage or injury resulting from any act, error, or omission made in the exercise of his policy or decision-making responsibilities, if he was acting in good faith and within the scope of his official functions and duties. The immunity does not apply if the damage or injury was caused by his reckless, willful, or wanton misconduct. This statute offers a broad protection from civil liability but does not cover every nonprofit corporation director. For example, the law does not protect a director if he receives compensation for performing his duties. Nor does the law provide total immunity even for those who are covered. For example, it does not cover such activities as operating a motor vehicle while carrying out corporate duties or routine, non decision-making functions. A federal law enacted in 1997 grants those who perform volunteer work for nonprofit organizations or governmental entities immunity from civil liability for injuries they cause by their negligence while volunteering. It also requires clear and convincing evidence for punitive damages to be awarded against such volunteers and makes them liable for noneconomic damages (pain and suffering) only to the degree their wrongdoing caused the harm. The law preempts contrary state law but states can opt out of the law by passing an act explicitly doing so. Connecticut has not opted out of the law; thus it applies in Connecticut.

Law Cyberstalking US State Laws US State Laws The first state in America to pass laws specifically addressing real life stalking was California in 1990. Until this change in the law the Police were powerless to act unless the target was actually physically attacked. Since then almost every state in the USA has passed legislation making stalking a criminal offense. Old habits die hard however, and many contemporary stalking victims in America are still told that nothing can be done unless a physical assault takes place. The California laws against stalking passed in 1990 did not specifically address online stalking. Nevertheless it is useful to review them in relation to the Internet as a starting point for any discussion of cyberstalking and the law. The California Penal Code [ Section 646.9. Stalking. 1990 (Amended 1994) ] defines the crime of stalking as follows: Any person who willfully, maliciously, and repeatedly follows or harasses another person and who makes a credible threat with the intent to place that person in reasonable fear for his or her safety... is guilty of the crime of stalking

Pa. HB 2449 could squelch paralegal services
It may be time to rally. Since March 11, the Pennsylvania legislature has sought to revise the state's UPL statute. The problem is, legislators introduced a version of H.B. 2449 that includes paralegals and legal assistants when it defined those who violate the law. Philadelphia's Primary Rep. Robin Solomon contacted NFPA about this situation. Working with Pennsylvania member associations, Central Pa, Chester County, Lycoming, Pa., Pittsburgh, and York County, NFPA responded to the bill and urged the Pennsylvania Bar Association to oppose the legislation. So on March 26, Philadelphia Bar Association Professional Responsibilities Committee members unanimously adopted a recommendation to oppose sections of H.B. 2449 that include paralegals and legal assistants in its UPL definitions. The Philadelphia Bar overwhelmingly supported that recommendation. On May 7, the House passed the bill and sent it to the Senate. Although at press time, Pennsylvania Bar President James Mundy holds a letter requesting him to help propose the amendment NFPA discussed with the PBA, no information is available about his response. This could become scary. If a statute were to limit, for example, the services an immigration consultant provides, then what's next? Will the Pa. law preclude paralegals from performing tasks for which they are not exempted? Will they be engaging in UPL if they continue to perform the services for which they've been trained?

There are two basic types of fraudulent transfers that creditors may challenge: actual intent and constructive intent transfers. Actual Intent Transfers: A transfer is deemed fraudulent and may be set aside if it is made with the "actual intent to hinder, delay or defraud any creditor" of the transferor, whether present or future. California Civil Code Sec. 3439.04(a). Constructive Intent Transfers: Generally, a constructive fraudulent transfer occurs when property is transferred for "less than reasonable value," if any of the following three requirements are met: a. The debtor is left with "unreasonably small" assets for carrying out the business in which the debtor is engaged or about to engage. (California Civil Code Sec. 3439(b)(1)); b. The debtor intended to incur, or reasonably believed or reasonably should have believed, that he or she would incur debts beyond his or her ability to pay as they became due. (California Civil Code Sec. 3439.04(b)(2)); or
