Extractions: THE GOOD SAMARITAN LEGISLATION The Year 2000 problems, commonly referred to as "Y2K compliance" or "the Millennium bug" have the potential to cause significant disruption socially and economically. The extent of the disruption has been the subject of a lot of argument. While many businesses have a good idea of the problems associated with the Year 2000 date change and how to remedy them, other businesses need assistance. It is generally thought that open communication on Y2K problems will be to the benefit of all. The difficulty to date has been that some businesses fear that if they disclose information such as test results on systems, others acting on the information may sue them for negligence in the event that the information turns out to be wrong. This is hindering the willingness of larger businesses to assist smaller ones. Accordingly, New Zealand has enacted the Y2K Information Disclosure Act 1999, nick named "The Good Samaritan" Act. The Act took effect from 15 May 1999. The aim of the Act is to promote the disclosure and exchange of information relating to Y2K issues which would enable businesses to improve their Year 2000 readiness. It is expected that the sharing of information between businesses will help a smooth transition into the new millennium.

This group normally includes representatives from major business units, functional experts in areas such as manufacturing, disaster planning experts, and often a legal representative. Their charter is to develop and document the specific risk areas the company faces, perform an impact analysis, and determine the mitigation responses to those risks. Their efforts should be managed as a subproject in the overall Y2K project. Mission Important systems are those which would require urgent repair to restore processes or operations. However, a short (hours, days, or weeks, depending on the system) would have recoverable consequences. The revenue stream would not be significantly impacted. Each company will have its own viewpoint of which systems belong in which categories. In fact, each group or division within the company will have its own set of priorities. For this reason, the final determination of criticality should be done at the top of the organization so that there is a very clear understanding of where resources and emphases should be placed.

In our increasingly litigious society the often-quoted prediction of a decade of litigation after January 1, 2000 seems believable. This possibility has not been lost on companies; and there has, therefore, been a reduced amount of information companies have been willing to make available on product readiness. Maybe things will change. In October, President Clinton signed a new law called the "Year 2000 Information Readiness and Disclosure Act." One of the intentions of the new law is to promote disclosure and exchange of information regarding year 2000 issues. To accomplish this, the idea is to raise the bar (no pun intended) for the use of year 2000 statements as evidence in a law suit, so long as certain legal tests are met. There are various exclusions and provisions of the law, and only a couple of them are covered below. Maybe all those salivating lawyers won't be so happy after all. On October 19th, President Clinton signed the Year 2000 Information and Readiness Disclosure Act of 1998 . The law is designed to "promote free disclosure and exchange of information" about Y2K problems and corrective measures by restricting the use of those disclosures in lawsuits. Deciphering the Language The language of the law is a bit confusing though. It appears to prevent a vendor's assurances about the status of its company's Y2K compliance from becoming a part of an existing contract when the vendor provides the information independently of the contract itself.

More recently, the Ministry of Justice has issued Ordinance No. 212, and the Secretary of Administration and Patrimony has issued Ordinance No. 601. Both of these Ordinances were published in the Federal Official Gazette on May 17, 1999, and regulate Y2K issues within the scope of these government agencies' areas of control. Ordinance No. 212 is addressed to the Consumer Protection and Defense Department of the Economic Rights Secretariat of the Ministry of Justice ("Department") and directs the agency to take all necessary actions to protect consumer rights in light of Y2K potential problems. In summary, Ordinance No. 212 directs the Department to alert consumers to the problems that may be caused by Y2K. The Department is also required to identify the liability of manufacturers and suppliers of both goods and services for damages that may be caused by Y2K, and to inform suppliers of goods and services that as of May 17, 1999, contracts, packages or instruction manuals must clearly state that relevant goods and services are Y2K compliant or, alternatively, the term, form and place where the goods and services will be made compliant (without cost to consumers).
